Terms and Conditions of Use

Official website of BANATRIA, S.L. · www.banatria.com

This is an English translation. The Spanish version prevails in case of any discrepancy.

1. Purpose and scope

These Terms and Conditions of Use (the “Terms”) govern the access to, browsing and use of the Website by any person who accesses it (the “User”). The Website is essentially corporate and informative in nature and also allows Users to contact BANATRIA through the channels provided for that purpose.

The Website does not currently offer direct contracting, e-commerce, user accounts or private areas, payments or transactions, behavioural advertising, or analytics or tracking tools. If features subject to specific conditions are added in the future, BANATRIA will first adapt the corresponding information and legal mechanisms.

2. User status

Accessing or browsing the Website confers User status and implies acceptance of these Terms in their current version. Browsing or sending an enquiry does not, in itself, create any contract, imply acceptance of a proposal or oblige BANATRIA to begin negotiations or provide services.

3. Nature of the information published

The information on the Website is general, corporate and informative and, unless expressly stated otherwise, does not constitute a contractual offer, a guarantee of results, or technical, energy, financial, legal or any other kind of advice.

BANATRIA carries out research, development and innovation, technology demonstration, industrial validation, pilot testing and technology transfer. The Website may therefore describe projects, prototypes, methodologies, technologies or features at different stages of research, development, testing, protection, industrialisation or commercialisation. References to performance, capabilities, results, timelines or future applications are not binding commitments unless expressly incorporated into a contract.

4. User obligations and prohibited uses

Users undertake to use the Website lawfully, diligently and in accordance with good faith, public order, these Terms and the rights of BANATRIA and of third parties. In particular, they shall not:

  • Damage, disable, overload or impair the Website or its infrastructure.
  • Access or attempt to access servers, databases, code, interfaces, restricted areas or systems without authorisation.
  • Introduce malware, viruses, scripts or malicious components; carry out denial-of-service attacks or circumvent security measures.
  • Impersonate others or knowingly provide false or unlawful information.
  • Infringe intellectual or industrial property rights, trade secrets, data protection or other rights.
  • Carry out automated extraction or substantial or systematic reuse of content where this infringes rights, circumvents technical measures or interferes with the operation of the Website.
  • Use BANATRIA's trademarks or content in a way that creates confusion about a relationship, authorisation, sponsorship or collaboration that does not exist.

5. Intellectual and industrial property and technology assets

The Website, its structure, design, interfaces and content are protected by the applicable legislation. The rights to texts, images, videos, designs, software, code, databases, documentation, trademarks, trade names, logos, models, methodologies, algorithms, scientific and technical documentation, information about products, prototypes, pilots and projects, know-how and other intangible assets belong to BANATRIA or to their lawful owners.

The publication or availability of information does not imply any assignment, transfer or express or implied licence, nor any waiver of intellectual or industrial property rights, trade secrets, confidentiality or other rights. Users have only the limited right of access and viewing necessary for ordinary browsing.

Unless there is sufficient legal title, the total or partial reproduction, adaptation, transformation, translation, distribution, public communication, making available, marketing, extraction, reuse or exploitation of the content is prohibited.

6. Scraping, data mining and artificial intelligence

The public availability of the content does not, in itself, constitute contractual authorisation to collect, extract, reproduce or exploit protected content by automated means, nor to use it for training, fine-tuning, validating, evaluating or developing artificial intelligence systems, machine learning models, foundation models, databases or equivalent products. All of the above is without prejudice to the limits, exceptions and rights mandatorily recognised by applicable law.

7. Trade secrets and know-how

The general description of technologies, solutions, methodologies, algorithms, projects, pilots or lines of research does not imply the disclosure of non-public technical, scientific, organisational or commercial elements, nor any waiver of the protection they may enjoy. BANATRIA reserves all rights to its know-how, trade secrets, technical and commercial information and other intangible assets.

8. Contact form

The contact form may ask for a name, email address, subject and message. Users must provide truthful and lawful information that is appropriate to the purpose of the communication, and refrain from sending unnecessary special categories of data, third-party data without a legitimate basis, or information whose transmission would breach confidentiality obligations.

The form is a general communication channel and is not intended to receive trade secrets, undisclosed inventions, source code, confidential proposals or other information whose confidentiality the sender wishes to preserve.

The mere receipt of information sent unsolicited does not, in itself, create a confidentiality agreement or any contractual obligations beyond those that apply by law or have been expressly agreed.

9. Preventing abuse of the form

For the sole purpose of preventing spam, fraud, automated submissions and other abuse, the system generates hash identifiers associated with the sender's email address and IP address. These identifiers are kept for a maximum of one hour and then deleted. They are not used for profiling, for tracking browsing or for advertising purposes.

10. Data protection

Personal data shall be processed in accordance with the GDPR, Spanish Organic Law 3/2018 and the Website's Privacy Policy. Using the form does not, in itself, authorise the sending of commercial communications unrelated to handling the enquiry.

11. Technology providers

To operate the Website and manage communications, BANATRIA uses IONOS as its hosting and infrastructure provider and Microsoft 365 to manage corporate email, including info@banatria.com. Where these providers process data on BANATRIA's behalf, they shall act in accordance with the obligations applicable to data processors and the corresponding contractual terms.

12. Cookies and local storage

In its current configuration, the Website does not use cookies, analytics, advertising or tracking tools. Fonts and other resources are served from the infrastructure used by BANATRIA itself and do not require connections to external third-party services.

Local browser storage is used only to remember, when the User changes it, their preference for light or dark display. This information remains on the device, does not identify the User, does not allow their activity to be tracked and is not used for analytics, advertising or profiling.

13. Links

Links to third-party sites are provided for information purposes and, unless expressly stated otherwise, do not imply association, sponsorship, approval or control by BANATRIA. BANATRIA is not responsible for the content, availability, security or policies of third parties, except where required by law.

Links from third-party pages to the Website must not mislead as to the origin or ownership of the content, suggest a relationship that does not exist, harm BANATRIA's reputation or use its trademarks or distinctive signs without sufficient legal title.

14. Availability, security and updates

BANATRIA endeavours to keep the Website available, secure and up to date, but does not guarantee its permanent availability or the complete absence of errors, interruptions or incidents. It may temporarily suspend access for maintenance, updates, security, technical incidents or other reasonably justified causes.

Owing to the evolving nature of BANATRIA's technology activity, some information may be superseded by later developments. BANATRIA may modify, correct or update the content without prior notice.

15. Liability

To the extent permitted by law, BANATRIA shall not be liable for damage arising solely from temporary interruptions; failures of third-party networks or services; unlawful acts of third parties that could not have been prevented by reasonable measures; malware introduced by third parties; use contrary to these Terms; decisions taken solely on the basis of general information on the Website; or third-party content and services.

BANATRIA does not guarantee that the technologies, products, projects, pilots or features described are commercially available at all times, will necessarily achieve particular results or will keep the published characteristics indefinitely. Nothing in the foregoing excludes liability that cannot legally be excluded or limited.

16. Commercial communications

Sending an enquiry does not constitute authorisation to receive commercial communications unrelated to handling it. If BANATRIA enables newsletters, subscriptions or other commercial activities in the future, it will provide the information and mechanisms required by applicable law.

17. Changes

BANATRIA may modify the Website and these Terms for regulatory, technical, operational, business or security reasons. Where a new feature entails specific obligations regarding electronic contracting, data protection or storage technologies, the corresponding texts and legal mechanisms will be adapted. The applicable version shall be the one published at any given time.

18. Minors

The website of BANATRIA, S.L. is corporate and informative in nature and is aimed mainly at adults, professionals, companies, organisations, institutions and other users interested in the activity, technologies, projects and solutions developed by BANATRIA.

Minors must use the Website under the supervision and responsibility of their parents, guardians or legal representatives, who shall be responsible for ensuring that such access and use comply with the applicable legislation and with these Terms and Conditions.

BANATRIA does not specifically direct its services or commercial communications at minors, nor does it intend to knowingly collect personal data from minors through the Website.

In particular, minors must not provide, through the contact form, their own or third parties' personal data, confidential information, special categories of personal data or any other information that is not necessary, without the involvement or authorisation of their parents, guardians or legal representatives where this is required by applicable law.

Where BANATRIA becomes aware that it has received personal data of a minor through the Website without an appropriate legal basis for processing it or, where required, without the corresponding involvement or authorisation of the person holding parental authority or guardianship, it shall take reasonable measures to delete such data as soon as possible, without prejudice to its retention where a legal obligation so requires.

The mere access of a minor to the Website shall in no case be interpreted as authorisation by BANATRIA for the minor to carry out acts or give consent for which, under applicable law, they lack sufficient capacity.

19. Partial invalidity

If any provision is declared null, invalid or unenforceable, this shall not affect the validity of the remaining provisions. The affected provision shall be interpreted, to the extent legally possible, consistently with the legitimate purpose it pursues.

20. Language

These Terms may be published in Spanish and English. In the event of any discrepancy, divergence or contradiction between the versions, the Spanish version shall prevail, unless a mandatory rule provides otherwise.

21. Governing law and jurisdiction

These Terms and Conditions, and the access to, browsing and use of the Website, shall be governed by and interpreted in accordance with applicable Spanish and European Union law.

In particular, and without limitation, the following shall apply where appropriate:

  • a) Law 34/2002 of 11 July on information society services and electronic commerce (LSSI-CE);
  • b) Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016, the General Data Protection Regulation (GDPR);
  • c) Organic Law 3/2018 of 5 December on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD);
  • d) Royal Legislative Decree 1/1996 of 12 April approving the consolidated text of the Intellectual Property Law;
  • e) Law 17/2001 of 7 December on Trademarks, insofar as applicable;
  • f) Law 1/2019 of 20 February on Trade Secrets; and
  • g) any other national or European Union provisions that may apply given the nature of the Website, its content, the technologies used and any processing of personal data carried out through it.

In matters of personal data protection, BANATRIA shall also take into account the criteria, guidelines, recommendations and decisions of the Spanish Data Protection Agency (AEPD) and, where relevant, the guidelines and criteria of the European Data Protection Board (EDPB), without prejudice to the legally binding nature, if any, of each of those instruments.

For the resolution of any dispute arising from the interpretation, validity, application or performance of these Terms and Conditions, or relating to the access to or use of the Website, BANATRIA and the User submit, where permitted by applicable law, to the Courts and Tribunals of Gijón (Asturias), Spain.

The foregoing is without prejudice to any mandatory rules on territorial jurisdiction and, in particular, to the jurisdiction and rights that may legally correspond to consumers or users.
